The specific services provided to you will be described in an applicable order form, invoice, proposal, or service agreement. We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice, and to update these Terms from time to time as described in Section 11.

3. User Responsibilities

As a user of our website or services, you agree to:

• Provide accurate, current, and complete information when creating an account, submitting a form, or purchasing services.
• Maintain the confidentiality of any login credentials, API keys, or account access we provide, and notify us promptly of any unauthorized use.

• Comply with all applicable federal, state, and local laws and regulations, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA guidelines, and A2P 10DLC carrier requirements, in connection with your use of our services.
• Pay all fees associated with your services in a timely manner, in accordance with the applicable invoice, proposal, or service agreement.
• Be solely responsible for the accuracy, legality, and appropriateness of any content, offers, or messaging you provide to us for use in your website, campaigns, or text/email communications.

4. Acceptable Use

You agree not to use our website or services to:

• Send unsolicited, unlawful, deceptive, or fraudulent messages, or messages to any recipient who has not provided the required consent.
• Use purchased, harvested, scraped, or third-party contact lists for SMS or email marketing without documented, verifiable opt-in consent.
• Transmit content that is illegal, defamatory, obscene, threatening, harassing, hateful, or otherwise objectionable, or that promotes prohibited or high-risk content under applicable carrier and CTIA messaging guidelines (including, without limitation, content related to illegal substances, firearms, hate speech, or sexually explicit material).
• Violate, or assist others in violating, any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights.
• Interfere with, disrupt, or attempt to gain unauthorized access to our website, servers, software, or any connected third-party systems (including GoHighLevel, carrier networks, or advertising platforms).
• Reverse engineer, decompile, or attempt to extract the source code of any software, automation, or platform we use to deliver our services.
• Use our services in a manner that causes our messaging numbers, campaigns, or accounts to be suspended, throttled, or blocked by a carrier, platform, or regulator.

We reserve the right to suspend or terminate your access to our website or services, without liability, if we reasonably believe you have violated this Acceptable Use section.

5. SMS Messaging Terms

This section applies to all text (SMS/MMS) messaging sent or received in connection with Only Results and the businesses we serve, and supplements the terms above.

a. Consent and Program Description

By providing your mobile phone number through a web form, checkbox, appointment scheduler, or other opt-in method, and by not opting out, you consent to receive text messages from Only Results and/or the applicable client business, which may include appointment reminders, missed-call text-backs, follow-up messages, review requests, and, where you have separately consented, promotional or marketing offers. Consent to receive text messages is not required as a condition of purchasing any goods or services.

b. Message Frequency

Message frequency varies depending on your interactions with us and the applicable business.

c. Message and Data Rates

Message and data rates may apply to any text messages sent to you from us, or sent by you to us, based on your mobile carrier plan.

d. Opt-Out Instructions

You may opt out of receiving text messages at any time by replying “STOP” to any message you receive. You will receive a one-time confirmation message acknowledging your opt-out, after which you will not receive further text messages from that number, except as necessary to complete a transaction you have already requested.

For help at any time, reply “HELP” to any text message you receive, or contact us using the information in Section 10 (Contact Information).

f. Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages. Only Results and its messaging platform providers are not liable for delays or failures in message delivery arising from carrier networks, device settings, or factors outside our reasonable control.

All content on our website, and all software, templates, workflows, automations, designs, text, graphics, logos, and other materials we create or provide in connection with our services (collectively, the “Only Results IP”), are owned by Only Results or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Only Results IP solely as delivered to you for your own internal business purposes. You may not copy, resell, sublicense, distribute, or create derivative works from the Only Results IP without our prior written consent.

You retain ownership of your own business name, trademarks, logos, and content that you provide to us. You grant Only Results a limited license to use, reproduce, and display such materials solely as necessary to design, build, and operate the website and marketing services we provide to you.

Our website and services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee any specific business outcome, including any particular number of calls, reviews, website rankings, conversions, or revenue results from use of our services. Marketing, SEO, and advertising performance depend on many factors outside our control.

We rely on third-party platforms, including GoHighLevel, mobile carriers, advertising networks (such as Meta and Google), and payment processors, to deliver our services. We do not warrant that our website or services will be uninterrupted, timely, secure, or error-free, and we are not responsible for outages, errors, or changes caused by these third-party platforms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Only Results, its owners, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of our website or services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total cumulative liability arising out of or relating to these Terms or our services will not exceed the total fees actually paid by you to Only Results for the services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the liability.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

These Terms, and any dispute arising out of or relating to these Terms, our website, or our services, will be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of such courts.
